Terms of Service

These Terms of Service govern the website and professional services provided by DANE Restaurant Consulting LLC (“Company,” “we,” “our,” or “us”). By using our website or purchasing services, you agree to these Terms and any applicable consulting agreement, proposal, statement of work, project authorization, or other written agreement.
1. Professional Services
Services may include restaurant operations consulting, food cost analysis, menu engineering, procurement strategy, vendor management, restaurant opening support, inventory consulting, restaurant technology consulting, SOP development, marketing strategy, growth consulting, and related professional services. Specific scope, pricing, deliverables, timelines, and responsibilities may be established separately in writing.
2. Client Responsibilities
Clients agree to provide complete, accurate, and timely information reasonably necessary for us to perform contracted services. Unless expressly agreed otherwise, clients remain responsible for management decisions, restaurant operations, employees, food-safety obligations, licenses, permits, regulatory compliance, and implementation decisions.
3. Fees and Payment
Clients agree to pay professional fees and authorized expenses described in the applicable proposal, invoice, statement of work, or consulting agreement. Payment arrangements may include consulting fees, project fees, deposits, retainers, recurring service fees, authorized procurement expenses, and approved third-party costs.
4. Procurement and Third-Party Expenses
Certain engagements may require purchases from equipment suppliers, software providers, professional vendors, contractors, or other third parties. Responsibility and authorization for these expenditures will be documented in the applicable engagement materials.
5. Third-Party Providers
We do not control third-party supplier availability, pricing, delivery schedules, warranties, policies, technical performance, or service interruptions. Third-party goods and services remain subject to their providers’ terms.
6. No Guarantee of Business Results
Restaurant performance depends on numerous factors. Unless expressly guaranteed in a signed agreement, we do not guarantee specific revenue, profit, cost reductions, customer counts, sales growth, ratings, investment returns, expansion results, or other financial outcomes.
7. Food Safety and Regulatory Responsibility
Unless expressly agreed otherwise, clients remain responsible for compliance with applicable food-safety, health, employment, licensing, permitting, and restaurant regulations.
8. Intellectual Property
Ownership and licensing of custom deliverables may be governed by the applicable client agreement. The Company retains ownership of its pre-existing methodologies, systems, processes, templates, knowledge, and intellectual property unless otherwise agreed in writing.
9. Confidentiality
The parties should use reasonable measures to protect confidential business information obtained through an engagement. Additional confidentiality obligations may be established separately.
10. Refunds and Cancellations
Refunds and cancellations are governed by our Refund & Cancellation Policy and applicable client agreements.
11. Limitation of Liability
To the maximum extent permitted by applicable law, DANE Restaurant Consulting LLC will not be liable for indirect, incidental, special, consequential, or punitive damages resulting from use of our website or services. Individual consulting agreements may contain additional terms.
12. Termination
Engagements may be terminated according to their applicable contractual terms. Termination does not automatically eliminate obligations incurred before the effective termination date.
13. Governing Law
These Terms are governed by the laws of the State of Florida, except where applicable law requires otherwise.
14. Changes
We may update these Terms periodically. The latest version will be posted on this website with its effective date.
